Terms of Service for ATFX Account Opening Agency & Overseas Bank Account Opening Agency Services (Exclusive for EA Purchasers)

These Terms of Service (hereinafter referred to as "these Terms") stipulate the conditions for using the account opening agency services (hereinafter referred to as "this Service") provided by B-Woods Co., Ltd. (hereinafter referred to as "the Company") exclusively for EA purchasers. Your use of this Service shall constitute your agreement to these Terms.


Article 1 (Eligible Recipients and Scope of Application)

  1. This Service is a supplementary service provided exclusively for purchasers of the Company’s EAs.

  2. These Terms of Service shall apply to all users of this Service.


Article 2 (Service Content)

This Service consists of administrative agency services and information provision support for the procedures required when users themselves open accounts with overseas financial institutions and overseas securities companies, and includes the following.

  1. Administrative agency services for the account opening procedures of overseas securities accounts (including ATFX).

  2. Administrative agency services for the overseas bank account opening procedures

  3. General guidance and support regarding margin deposits

  4. Guidance and support for cases where an on-site visit is required

* The Company shall not engage in any investment advisory or agency activities as defined under the Financial Instruments and Exchange Act, including the provision of investment decision advice or asset management instructions.
* This Service is merely assistance for procedures conducted in the user’s own name, and does not guarantee the successful opening of an account.


Article 3 (Service Fees and Exclusive Benefits for EA Purchasers)

  1. The regular fees for this Service shall be as follows.

    • Securities Account Opening Agency Service: ¥22,000 (tax included)

    • Bank Account Opening Agency Service: ¥22,000 (tax included)

  2. For purchasers of the Company’s EAs, the aforementioned services shall be provided free of charge as an exclusive benefit.
     (Provided, however, that the user shall bear all local expenses, travel costs, fees charged by each financial institution, and any other related costs.)

  3. The free-of-charge provision is limited to the time of EA purchase, and may be subject to change in the future.


Article 4 (User's Responsibilities)

The User shall comply with the following matters when using this Service.

  1. To provide accurate and up-to-date personal information

  2. To faithfully comply with the identity verification, document submission, and other related requirements pursuant to the Act on Prevention of Transfer of Criminal Proceeds

  3. To verify, at one’s own responsibility, the applicable laws, regulations, tax requirements, and other relevant provisions pertaining to the opening and use of overseas accounts


Article 5 (Prohibited Matters)

The User shall not engage in any of the following acts.

  1. Provision of false or inaccurate information

  2. Acts of impersonating another person

  3. Use of accounts for illegal or improper purposes, including money laundering

  4. Acts that damage the credibility of the Company or third parties

  5. Acts that interfere with the operation of this Service


Article 6 (Disclaimer of Liability)

  1. The Company shall not be liable for any failure to open an account arising from changes in the review criteria or regulations of overseas financial institutions or securities firms.

  2. The Company shall not be liable for any losses, expenses, delays, or other related consequences arising from the use of this Service, except in cases involving the Company’s intentional misconduct or gross negligence.

  3. Decisions regarding investments, investment performance outcomes, remittance risks, and other related matters shall be made at the User’s own discretion and responsibility.

  4. The Company shall bear no liability whatsoever for any disadvantages incurred by the User that arise from the negligence of CCU BANK (official name: CCU Commercial Bank), other banks, or the securities firm ATFX with which the User conducts transactions.


Article 7 (Handling of Personal Information)

The Company shall use the personal information obtained only to the extent necessary for account opening agency services and identity verification procedures, and shall manage such information appropriately in accordance with the Personal Information Protection Act.


Article 8 (Modification and Suspension of Service Content)

The Company may modify or suspend the content of this Service as it deems necessary. The Company shall not be liable for any disadvantages incurred by the User as a result of such modification or suspension.


Article 9 (Governing Law and Jurisdiction)

The interpretation and application of these Terms and Conditions shall be governed by the laws of Japan, and the court having jurisdiction over the location of the Company shall be the exclusive agreement court of first instance.
